Terms and Conditions

These terms and conditions shall govern the provision of the Augmented Reality (AR) Card service by Sunrise International (D/B/A CampusXR).

You agree to these terms and conditions by doing any one of the following actions:

1. Completing an order form for the AR card service, or

2. Upon receipt of a price quote for the AR card service, you state in writing that you wish to move forward with an order for the AR card service, or

3. Completing payment of an invoice for the AR card service.

You warrant that you are an authorized representative of your organization (hereafter, “PARTY B”) and have standing to agree to the terms herein. You warrant that you have read these terms and agree to conditions herein.

Services. Sunrise International (D/B/A CampusXR) shall perform the following services. Sunrise’s obligations for the provision of the above-listed service include and are expressly limited to:

1. Sunrise will create an Augmented Reality (hereafter, “AR”) card design on PARTY B’s behalf that will allow users with a smartphone scan a QR code and see a digital projection layered on top of one side of the business card or postcard with additional information, links, and a photo or video selected by PARTY B.

2. Sunrise will first create and get PARTY B’s approval for the card design. Afterwards, Sunrise will create and get PARTY B’s approval for the structure for the AR Experience.

3. Sunrise will create a graphic design for one side of a card for PARTY B that will enable the AR projection and will include the QR code to launch the AR experience. PARTY B will communicate any graphic design rules or requirements such as color scheme and fonts to Sunrise in advance prior to the start of development. PARTY B will have the right to request reasonable modifications to the design until it approves the design, and Sunrise will advise PARTY B as to whether any PARTY B-provided edits or design requirements will have an effect on the performance of the AR experience. Parties acknowledge that the AR technology operates using image recognition algorithms, and thus the performance of the experience will be optimal when the design image has contrasting colors.

4. Sunrise will allow PARTY B to choose from a library of design templates, and Sunrise will design the AR projection interface using the template selected by PARTY B, according to PARTY B instructions as to the content and color scheme to be used in the AR digital projection structure. Deviations from standard layout templates are permitted, but they will incur an additional fee “Custom Content Layout” described in section B below.

5. Sunrise will adapt the content of the AR Experience according to PARTY B specifications and the service terms herein, and PARTY B will have the right to request reasonable modifications to the content until it approves the final version.

6. The AR Experience will have 3-D plane detection functionalities, so that a smartphone will be able to recognize the card design image and project the AR content on top of it and so that the content will move if the user holds the card at different angles or in different positions.

7. PARTY B will provide Sunrise with all text, video, photo, and URL content it wishes to include in the AR experience. Sunrise will advise PARTY B as to the suggested maximum amounts of text to be included. Parties understand that including large amounts of text in the AR experience will result in the text size being reduced.

8. The AR experience will be designed for smartphone use and will be web-based. Users will need to scan a QR code to launch the experience, and they will need to allow their default mobile internet browser to use the device’s camera to view the AR experience.

9. Sunrise will provide quarterly reports to PARTY B with analytics on the usage of the card and the AR Experience. Additional reporting can be requested on demand.

10. PARTY B may request that Sunrise update the digital overlay content to be included in the Augmented Reality experience at any time throughout the duration of the service year.

11. The fee for the first year of this service is $2,800. The fee for each subsequent year shall be $1,800.

12. This service does not include the printing of any physical cards.

Additional Optional Services. PARTY B request the following additional services by sending a written request for Sunrise to complete an additional service, according to the terms below:

1. Multipage Page Designs. If PARTY B requests for Sunrise to create an additional business card pages using the same AR Experience structure, Sunrise will create the additional page to be included in the AR Experience which can be accessed by pressing a button inside of the AR experience. The design template for each subsequent page will be the same as the first page of the AR experience herein described. The fee for this service will be $1,000 for every new page to be developed during the first year of this agreement or the first year that the new page is created. The fee for each subsequent year shall be $500 per page.

2. Custom Design: If PARTY B wishes to use a different design for the AR experience other than those included in Sunrise’s template library, Sunrise will design the AR projection interface using a customized structure, according to PARTY B instructions as to the layout, content, and color scheme to be used in the AR digital projection structure. PARTY B may choose to include photo, video, text, or links to the top, bottom, left, or right of the business card. The fee for this service is $2,500 for each custom card design.

3. Additional Card Designs for Single-Page Cards. If PARTY B requests for Sunrise to create an additional business card design using the same AR Experience structure of a single-page card (for example, to support another language, to include a different video, or to include different contact information in an additional card), Sunrise will create the additional design and AR Experience. Minor changes to text or links, or the use of a different video in the additional card are permitted. Requests for changes to the AR Experience structure and layout, or more than 100 words of text changes will be considered a new design service and will have the same cost as a new design as stated in Section A above. The fee for this service will be $1,000 for every new card to be developed during the first year of this agreement or the first year that the new card is created. The fee for each subsequent year shall be $500 per card.

4. Additional Card Designs for Multi-Page Cards. If PARTY B requests for Sunrise to create an additional business card design using the same AR Experience structure of a multi-page card (for example, to support another language, to include a different video, or to include different contact information in an additional card), Sunrise will create the additional design and AR Experience. Minor changes to text or links, or the use of a different video in the additional card are permitted. Requests for changes to the AR Experience structure and layout, or more than 100 words of text changes per page will be considered a new design service and will have the same cost as a new design as stated in Section A above. The fee for this service will be $1,000 as a base fee, plus $500 for each additional page to be included in the multi-page design, for every new card to be developed during the first year of this agreement or the first year that the new card is created. The fee for each subsequent year shall be $500 per card.

5. 3D Model Creation and Animation: Upon PARTY B request, Sunrise will create a three dimensional digital model that will appear on top of or in interaction with the launch graphic. PARTY B will communicate its aesthetic requirements for the model, and Sunrise will create the model consistent with PARTY B’s requirements and will optimize the model for texturing and lighting. PARTY B will have the right to request reasonable modifications to the model until it approves the model. Thereafter, Sunrise will animate the models so that the model does one action, such as waving, pointing, or dancing. Audio may be added. PARTY B will have the right to request reasonable modifications to the animation until it approves the animation. The cost for this service is $3,000. Additional animations beyond the first animation will carry a fee of $1,500 per animation and shall be governed by the same terms listed herein.

Term. This agreement shall remain in effect from the date of the issuance of an invoice by Sunrise “Effective Date” until the second year anniversary of the Effective Date.

Renewal and Termination.

1. Two months prior to the first year anniversary of the Effective Date, PARTY B will indicate whether it desires to renew the service for additional years of service or if it wishes to allow the service to expire without renewal.

2. If PARTY B does not wish to renew the agreement, then it may choose to have Sunrise deactivate and delete the AR Experience. After the expiration of the agreement, the AR Experience will automatically be deactivated.

Ownership. PARTY B will maintain complete ownership of the text, photos, and videos provided by PARTY B to Sunrise in the course of the fulfillment of this agreement. PARTY B will maintain complete ownership of the graphic design created by Sunrise on behalf of PARTY B. Sunrise shall retain full ownership of the AR Experience source code. In no event whatsoever will Sunrise be required to provide any source code or proprietary information about its platforms to PARTY B or any of its affiliates.
